These Terms of Service ("Terms") govern your access to and use of the VarsityIQ athletic program management platform and related services (collectively, the "Service") provided by VarsityIQ ("VarsityIQ," "we," "us," "our"). By accessing or using the Service, you agree to these Terms.
1. Eligibility and accounts
The Service is licensed to K-12 schools, school districts, and similar educational organizations ("Schools") under a separate service agreement. Individual users ("Users") access the Service through a School-authorized account. You must have permission from a School to use the Service and must provide accurate information when creating your account.
2. School licensing
VarsityIQ is licensed to Schools, not to individual users. The School that authorizes your account is responsible for its use within its organization, including managing user access, acceptable use, and compliance with applicable student-privacy laws. The School owns the data entered into the Service on its behalf ("School Data"). VarsityIQ processes School Data solely to provide the Service under the School's direction.
3. Acceptable use
When using the Service, you agree not to:
- Access accounts, rosters, or data belonging to Users or Schools you are not authorized to access
- Reverse engineer, decompile, or attempt to derive the source code of the Service
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Use the Service to transmit malware, spam, or unlawful content
- Share login credentials with anyone who is not an authorized user of your School
- Scrape, harvest, or programmatically export data beyond normal product functionality
- Misrepresent your identity or impersonate another user
4. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. Promptly notify your School and info@varsityiq.app if you suspect unauthorized access.
5. Service availability
We strive to keep the Service available continuously, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, upgrades, or circumstances beyond our reasonable control. We will use commercially reasonable efforts to announce scheduled maintenance in advance.
6. Product changes
We continuously improve the Service. We may add, change, or remove features at any time. Material changes that reduce core functionality will be communicated to Schools in advance where practical.
7. Fees
The Service is licensed to Schools under a separate service agreement that sets out fees, payment terms, and renewal conditions. Individual Users are not charged to access the Service.
8. Intellectual property
VarsityIQ and its licensors retain all right, title, and interest in the Service, including its software, designs, trademarks, and documentation. Nothing in these Terms transfers VarsityIQ intellectual property to any School or User. Schools retain all right, title, and interest in School Data.
9. Feedback
If you submit ideas, suggestions, or feedback about the Service, you grant VarsityIQ a perpetual, worldwide, royalty-free license to use them to improve the Service. We welcome feedback at info@varsityiq.app.
10. Termination
A School's license may be terminated per the terms of the School's service agreement. Individual User accounts may be deactivated by the School at any time. Upon termination of a School's license, VarsityIQ will export School Data in a portable format on request and delete remaining production copies per the retention terms in our Privacy Policy.
11. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or error-free operation. VarsityIQ does not warrant that the Service will meet every requirement or that any defects will be corrected.
12. Limitation of liability
To the fullest extent permitted by law, VarsityIQ and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, revenues, or goodwill, arising from or in connection with the Service. VarsityIQ's total cumulative liability arising from or relating to the Service will not exceed the fees paid by the School to VarsityIQ during the twelve months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend and indemnify VarsityIQ against claims, losses, and expenses arising from your misuse of the Service, violation of these Terms, or violation of applicable law, to the extent caused by your acts or omissions.
14. Governing law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Service will be resolved in the state or federal courts located in South Carolina, and you consent to that jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced to Schools in advance. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
